Terms & Conditions
By placing an order with Design PR Girl, you are forming a legally binding contract with and/or it’s affiliated companies, for products and services, and you agree to be bound by the following Terms and Conditions.
If you do not agree to the below terms and conditions you must immediately cease using Design PR Girl. Using Design PR Girl constitutes acceptance of the below terms and conditions.
Definitions
1. “Design PR Girl” means Andrea Hogben T/AS Design PR Girl and/or its related or associated entities.
2. The “Customer” means the party placing an order for the purchase of goods or services from Design PR Girl.
3. An “Order” refers to a request for Goods or Services.
Acting in Reliance
1. The customer warrants that the information provided by the Customer is true and correct. The Customer acknowledges that Design PR Girl will act in reliance on this information.
Application of Terms and Conditions
1. These Terms and Conditions (“T&C’s”) apply to each and every dealing between the parties Design PR Girl and the Customer, and the Customer agrees to adhere to these Terms and Conditions and will that they prevail over any other verbal, implied or written conditions, whether verbal, implied or written to the extent of the permitted law.
2. These Terms and Conditions may be changed by Design PR Girl from time to time, and the then current version of the Terms & Conditions shall be binding upon the Customer.
Copyright Infringement
1. You warrant that the subject matter is not copyrighted by a third party. You also recognize that because subject matter does not have to bear a copyright notice in order to be protected by copyright law, absence of such notice does not necessarily assure a right to reproduce. You further warrant that no copyright notice has been removed from any material used in preparing the subject matter for reproduction. To support these warranties, you agree to indemnify and hold Design PR Girl harmless for all liability, damages, and attorney fees that may be incurred in any legal action connected with copyright infringement involving the work produced or provided.
2. You also warrant that the work does not contain anything that is libellous or scandalous, or anything that threatens anyone's right to privacy or other personal or economic rights. You will, at your sole expense, promptly and thoroughly defend Design PR Girl in all legal actions on these grounds as long as Design PR Girl promptly notifies you of the legal action and gives you reasonable time to undertake and conduct a defence. Design PR Girl reserves the right to use its discretion in refusing to act upon any designs or copy, anything that it deems illegal, libellous, scandalous, improper, or infringing upon copyright law.
Proofing, Colour Matching & Print Quality
1. Computer proofs, such as PDF, EPS, AI, JPEG, PNG or otherwise, are not to be used as colour or matching reference.
2. Print colour may vary from print run to print run and/or from job to job or from front to back.
3. The client is responsible to obtain a colour matching integrity proof from their chosen printer to check colour, text placement, spelling for every print ready file obtained from Design PR Girl.
4. Trimming may vary up to 2mm with most printing firms, and Text should not be placed within 3mm of the edge.
5. Whilst all care is taken preparing Print files to Clients, Design PR Girl accepts no responsibility for files that do not print correctly.
6. All final print artwork files are supplied at a minimum of 300dpi and as PDF files.
7. Clients must provide all full colour printing images in CMYK format. Design PR Girl is not responsible for any colour shift that occurs in conversions from RGB to CMYK colour modes.
Errors
1. Design PR Girl is not responsible for errors and omissions approved by the Customer. The Customer is solely responsible for errors missed during the proofing process of either artwork supplied by the Customer or artwork created by Design PR Girl.
Computer
Design PR Girl will not be held liable for distribute viruses, corrupted files, or any other similar software or programs that may damage the operation of any computer hardware or software.
GST, Pricing/Payment & Turnaround Times
1. All prices are inclusive of 10% GST unless otherwise stated.
2. Additional/major artwork or drafts (if requested) will be charged at an hourly rate.
3. Any form of artwork/drafts/design(s) that have been terminated (on your request) prior to completion, require payment.
4. Pricing will change if format is altered. Therefore, a re quote is to be obtained.
5. All posted turnaround times are approximate and although Design PR Girl will make every effort to meet these deadline date(s), Design PR Girl will not be liable for any costs or damages resulting from artwork/deliveries made later than expected to the Customer.
General
1. These terms and conditions constitute the entire agreement between us and you in relation to the Website and supersede all other (prior or contemporaneous) communications or displays whether electronic, oral, or written, between us and you in relation to the Design PR Girl Website.
2. Your use of the Design PR Girl Website is conducted electronically and you agree that we may communicate with you electronically for all aspects of your use of the Design PR Girl Website, including sending you electronic notices.
3. The provisions of these terms and conditions which by their nature survive termination or expiry of these terms and conditions will survive termination or expiry of these terms and conditions.
4. No responsibility will be taken for reproduction of artwork or written work provided by the client.
5. It is the clients responsibility to make sure they have covered the terms and conditions of the copyright law.
6. All projects will remain strictly confidential until their release date.
7. All quotes are valid 14 days from the date at the top of a quotation form. After this time they must be reconfirmed.
8. Approval (client sign off) is required before files are handed over.
9. Hand over any files will not occur until final payment has been made.
